Terms and Conditions

**General Terms and Conditions of AI Neuro Consulting,
Günther Schoberth-Schwingenstein***

1. **Scope of Application**
These General Terms and Conditions (hereinafter referred to as "GTC") apply to all consulting services provided by KI-Neuro-Consulting, Günther Schoberth-Schwingenstein (hereinafter referred to as "Contractor") to its customers (hereinafter referred to as "Client").

2. **Subject Matter of the Contract**
The provider offers clients consulting services in the fields of artificial intelligence and neuroscience. These services include, but are not limited to, the analysis, planning, and implementation of customized solutions.

3. **Contract Conclusion**
The contractor has a consulting agreement as stipulated in the consulting agreement and receives an hourly rate of €70 net. If the client has not concluded a consulting agreement, they receive an hourly rate of €120.

4. **Services of the Contractor**
The contractor undertakes to perform the agreed services to the best of his knowledge and belief and according to the current state of his technology.

5. **Obligations of the Client**
The client undertakes to provide the service provider with all information and materials necessary for the performance of the service in a timely manner. The client warrants that the information and materials provided do not infringe any third-party rights. The service provider is not liable for this.

6. **Compensation**
The contractor's fees are based on the fee agreed upon between the provider and client. Payment is due within 10 days of invoicing. SOS consultations are always billed at €120 for 120 minutes prior to the consultation. If payment is not received within 10 days, standard market interest (8.5% per annum) will be charged.

7. **Liability**
The contractor acts as a consultant and is not liable. The client approves the consultations and therefore assumes liability.

8. **Confidentiality**
Both parties agree to maintain the confidentiality of all confidential information obtained in the course of performing this contract, especially information relating to this contract.

9. **Final Provisions**
Any changes or additions to these Terms and Conditions must be in writing. Should any provision of these Terms and Conditions be invalid, this shall not affect the validity of the remaining provisions.

- The place of jurisdiction is the registered office of the provider.
